02 / Follow the decisions

Start with the right question.

Separate initial from recurring filings

The 90-day initial deadline is a day count from registration. The recurring filing is tied to the original registration month, not the date you last submitted a statement. Filing an initial statement does not replace the next recurring requirement.

Follow the entity’s cycle

Stock corporations file annually. LLCs and nonprofits file biennially. For a biennial filer, the original registration year determines the odd/even-year cycle; confirm the next due date in the entity’s bizfile record.

Keep the record accurate between windows

File an updated statement when information changes between statutory filing periods. FTB says missing a required statement may result in a $250 penalty in connection with suspension or forfeiture; do not treat this as a guaranteed immediate charge on every late filing.
